I have paper stock certificates from a previous exercise of options. Do I have a responsibility to do anything in regard to the merger, or will I automatically receive NewCo certificates?​
Following the closing, you will receive a letter of transmittal from the exchange agent requesting that you submit any paper certificates along with your signed and completed letter of transmittal (shareholders who hold only book-entry shares will simply return the signed and completed letter of transmittal). Once the appropriate documentation is received by the exchange agent, the exchange agent will issue the NewCo shares to you in book-entry form. Shareholders may, however, request paper stock certificates for NewCo shares from the exchange agent instead.
Will existing employees need to undergo a drug screen to join NewCo?
No. Current employees of RFMD and TriQuint who become NewCo employees will not have to undergo a new drug screen. New hires to NewCo following Day One will undergo a drug screen as a condition of employment.
Will the carry-forward of existing benefit programs impact sabbaticals and PTO accruals for employees of TriQuint who join NewCo?
The current health benefit programs for each company will be carried forward for employees of that company to NewCo and will remain in place at least for 2015. Any changes to TriQuint’s other benefit programs, including sabbatical and PTO accrual policies, are being discussed now and will be communicated as soon as possible.
