Item 7.01 Regulation FD Disclosure.

CBL & Associates Properties, Inc. ("the Company") today elected not to proceed with its previously announced offering of CBL & Associates Limited Partnership's senior unsecured notes in light of today’s capital market conditions.  Given the Company’s flexible balance sheet, it decided to postpone the offering until market conditions become more favorable.
