The number of LTIP Performance RSUs that will vest on March 31, 2025 and 2026 will be determined based on the Issuers level of achievement with respect to the specific Performance Criteria. If the Performance Criteria is not achieved at the threshold level, no vesting will occur and the LTIP Performance RSUs will be cancelled. The amounts listed are the maximum number of LTIP Performance RSUs that may vest. All RSUs and LTIP Performance RSUs are settled in shares of the Company's Common Stock.
