On June 14, 2012, Astoria Financial Corporation (the “Company”) issued a press release announcing that it has priced an offering of $250 million of 5.00% Senior Notes due June 19, 2017, through a public offering underwritten through a syndicate led by Jefferies & Company, Inc. and Sandler O’Neill + Partners, L.P. The Company expects to use the net proceeds from the offering to repay its 5.75% Senior Notes due 2012. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1.

LAKE SUCCESS, N.Y., June 14, 2012 /PRNewswire/ -- Astoria Financial Corporation (NYSE: AF) ("Astoria", the "Company"), the holding company for Astoria Federal Savings and Loan Association ("Astoria Federal"), today priced an underwritten public offering of $250 million of 5.00% Senior Notes due June 19, 2017. The Company expects to use the net proceeds from the offering to repay its 5.75% Senior Notes due 2012.

Jefferies & Company, Inc. and Sandler O'Neill + Partners, L.P. are acting as joint book-running managers for the offering.
