Item 7.01                                             Regulation FD Disclosure

 

On August 25, 2005, Art Zafiropoulo, the Company’s Chief Executive Officer, established a selling plan pursuant to Rule 10b5-1 under the Securities Exchange Act of 1934.  Pursuant to the plan, Mr. Zafiropoulo will sell up to 480,000 shares in predetermined amounts and at predetermined prices between December 2005 and November 2007.
