This Amendment No. 7 to Schedule 13D amends the Schedule 13D initially filed on August 15, 2003 (collectively, with all amendments thereto, the “Schedule 13D”).

 

Preliminary Note: Amendment No. 6 to the Schedule 13D reported that the Reporting Persons beneficially owned in aggregate 27,756,962 Shares, which was equivalent to 16.1% of the Shares then outstanding. This Amendment No. 7 to the Schedule 13D reports that the Reporting Persons beneficially own in aggregate 28,461,453 Shares, an increase in beneficial ownership of 704,491 Shares. Due to additional Share issuances by the Company since the filing of the prior Schedule 13D, the 28,461,453 Shares reported herein represent a lower percentage (14.8%) of the Shares currently outstanding.

 

This amendment to the Schedule 13D reports that effective as of April 3, 2006, Charles E. Ellwein resigned as a managing member of Farallon Partners, L.L.C. and Farallon Capital Management, L.L.C. and Mr. Ellwein may therefore no longer be deemed a beneficial owner of the Company’s securities reported herein.

 

This amendment to the Schedule 13D also reports that effective as of January 1, 2007, Douglas M. MacMahon and as of July 1, 2007, Ashish H. Pant became managing members of Farallon Partners, L.L.C. and Farallon Capital Management, L.L.C., two of the Reporting Persons listed below, and as such may be deemed to be a beneficial owner of the securities beneficially owned by such entities as of each such applicable date.

Andrew B. Fremder (“Fremder”), with respect to the Shares held by the Farallon Funds and the Managed Account and with respect to Shares Fremder is deemed to beneficially own through his ownership of options to purchase 18,124 Shares, which options are immediately exercisable. Pursuant to Limited Powers of Attorney, dated as of February 1, 2003 (the “Fremder POA”), Fremder was granted limited powers of attorney to act for each of FPLLC and the Management Company with regard to the Shares directly held by each of the Farallon Funds. Such powers of attorney may only be exercised by Fremder jointly with any of persons identified in Item 2(a)(xii) above. As a result of such restriction, Fremder does not by himself have the power to vote, or direct the voting of, the Shares held by the Farallon Funds. Rather, Fremder shares such power with such identified persons. Pursuant to the Fremder POA, Fremder may be deemed to be a beneficial owner of the Shares held by the Farallon Funds. Fremder received the options referenced herein pursuant to the Equity Plan for his service as a member of the Board of Directors of the Company.

 

Ding, Duhamel, Ellwein, Fremder, Fried, Landry, MacMahon, Mellin, Millham, Moment, Pant, Patel, Schrier, Steyer and Wehrly are together referred to herein as the “Farallon Individual Reporting Persons.”

Since the filing of the prior Schedule 13D, certain of the Farallon Funds and the Managed Account acquired in aggregate 692,169 Shares (as further detailed below). All of such Shares were acquired pursuant to the Company's Dividend Reinvestment and Stock Purchase Plan (the “DRIP Plan”) and represent the re-investment by such Farallon Funds and the Managed Account of the Company's Q2 2007 $0.60 per Share cash dividend. Other than the reinvestment of such dividend, no consideration was paid by such entities to acquire such Shares. Item 4. Purpose Of The Transaction

Item 4 of the Schedule 13D is updated as follows:

The Farallon Funds listed in Item 3 above and the Managed Accounts have elected to re-invest 100% of the dividends they receive on their Shares pursuant to the Company's DRIP Plan. On July 16, 2007, such entities acquired in aggregate 692,169 Shares, representing the re-investment by such entities pursuant to the Company's DRIP Plan of the Company's Q2 2007 $0.60 per Share cash dividend.

Although no Reporting Person has any specific plan or proposal to acquire or dispose of Shares (other than potential future acquisitions pursuant to the Company's DRIP Plan), consistent

with its investment purpose, each Reporting Person at any time and from time to time may acquire additional Shares or dispose of any or all of its Shares depending upon an ongoing evaluation of the investment in the Shares, prevailing market conditions, other investment opportunities, liquidity requirements of the Reporting Person and/or other investment considerations. No Reporting Person has made a determination regarding a maximum or minimum number of Shares which it may hold at any point in time.

As described in prior amendments to the Schedule 13D and pursuant to the terms of the Company's Equity Plan, Steyer and Fremder, as non-employee directors of the Company, are entitled to receive payment for their annual board and committee fees paid on and after January 1, 2004 in the form of stock options and/or to elect to defer payment of such fees into the form of common stock units (also known as phantom stock units). Steyer and Fremder have each elected to receive a portion of their compensation in stock options and to date Steyer and Fremder have each received options to purchase 18,124 Shares, which options are immediately exercisable, and options to purchase 362 Shares, which options are exercisable in more than 60 days. In addition, Steyer and Fremder receive a portion of their compensation in the form of common stock units issued under the Company's Deferred Compensation Plan. To date and including the deemed re-investment of dividends pursuant to the Company's Deferred Compensation Plan, Fremder has received 5,200 common stock units and Steyer has received 8,070 common stock units.
