Item 8.01 Other Events.
     On August 1, 2007, Hanover Compressor Company (“Hanover”) announced that in connection with its previously announced tender offers and consent solicitations (the “Tender Offers”) for its 8.625% Senior Notes due 2010, 7.5% Senior Notes due 2013 and 9.0% Senior Notes due 2014, it has received the requisite consents to amend the indentures governing the notes. On August 6, 2007, Hanover announced the pricing terms for the Tender Offers. The foregoing descriptions are qualified in their entirety by reference to the press releases, which are attached hereto as Exhibits 99.1 and 99.2 and incorporated by reference herein.
