Maguire's wife, resigned as a co-Trustee of the trusts for her children, Megan Maguire Nicolette, Susan Maguire McKean and Frances Maguire Glomb, each of which was established under the James J. Maguire 1995 Annuity Trust dated as of February 9, 1995.  As a result of such resignation, a disposition of any indirect pecuniary interest in the shares owned by the trusts attributed to James J. Maguire will be deemed to have occurred, and therefore any such indirect pecuniary interest in the shareholdings of the trusts is no longer attributable to James J. Maguire.</footnote>
