Item 3.03 Material Modifications to Rights of Security Holders.

On June 16, 2008, the Company entered into a Merger Agreement. Pursuant to the Merger Agreement, the Company will stop payment of its regular quarterly dividend of $0.05 per share of common stock while the transaction is pending. As a result, the Company's Board of Directors suspended payment of any future dividends until the closing or termination of the transaction.
