Urban Partners II, LLC ("Urban Partners II") transferred 235,071 and 587,700 shares of common stock on August 23 and August 27, respectively, to certain members (collectively, the "Redeeming Parties") of CIM Urban REIT, LLC ("CIM Urban REIT"), a member of Urban Partners II, in exchange for the assignment by the Redeeming Parties of all of their respective equity interests in CIM Urban REIT to, and the subsequent cancellation of such equity interests by, CIM Urban REIT. Such distributed common stock reflected the Redeeming Parties' respective pro rata ownership interests in the common stock held by Urban Partners II.
