Item 1.01 Entry into a Material Definitive Agreement.

 

On July 1, 2019, Mateon Therapeutics, Inc., a Delaware corporation (the “Company”) entered into a Separation and Release Agreement with Matthew M. Loar, in connection with the termination of his employment (the “Separation Agreement”). The Separation Agreement provides for a mutual release of claims arising out of Mr. Loar’s employment. In addition, the Separation Agreement amends the severance payments that would otherwise be payable to Mr. Loar under the terms of his employment agreement with the Company. Mr. Loar will receive, in lieu of any other severance payments, a payment of $16,250 for each $1 million in gross proceeds received by the Company in future financings up to a maximum of $325,000. In addition, the Company agreed to extend the term and exercise period of all outstanding vested options held by Mr. Loar for a period of 24 months from the date of the Separation Agreement.
