Amended and Restated Director Compensation Policy (the &quot;Policy&quot;) in lieu of payment of compensation for Board of Directors and Committee services for the quarter ended December 31, 2009.  Dr. Laffer was entitled to receive $3,750 for attending five Board of Directors meetings, $500 for attending a Committee meeting, $3,750 for retainer fees for Board of Directors service, and $1,875 for retainer fees for Audit Committee Chair and Compensation Committee Chair service.  The closing price per share on the grant date for the Shares issued was $1.14.</footnote>
        <footnote id="F2">Dr. Laffer received 10,000 Shares pursuant to the Policy for Board of Directors services provided in 2009 and 25,000 Shares pursuant to the Policy for Board of Directors services to be provided during the first six months of 2010.
