ITEM 5.02      DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.

OXiGENE, Inc. (the “Company”) announced that Mr. Scott Young has left his position as the Company’s Chief Operating Officer to pursue other interests, effective August 14, 2006. In connection with his departure from the Company, Mr. Young is entitled to receive a severance payment of two months of his current base salary for each year of his employment with the Company, pursuant to his Employment Agreement with the Company dated January 1, 2002.
