Item 5.07 Submission of Matters to a Vote of Security Holders.
On May 22, 2023, Monarch Casino & Resort, Inc. (the "Company") held its Annual Meeting of Stockholders (the “Annual Meeting”). A total of 17,083,235 shares, or 89.3%, of shares outstanding as of the record date of the Company's common stock were present or represented by proxy at the meeting. The results of stockholder voting on the three proposals presented were as follows:
Proposal 1 – Stockholders elected the following two directors nominated by the board of directors, each to serve until the 2025 annual meeting of stockholders and until his or her successor is elected and qualified, or until such director's earlier death, resignation or removal.
