Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On September 28, 2020, Lutz Lingnau, a member of the Board of Directors (the “Board”) of Nektar Therapeutics (the “Company”) decided to retire from his Board service.  As a result, Mr. Lingnau provided notice of his resignation from the Board as a Class III director and all committees thereof, effective September 30, 2020; his resignation was not the result of any disagreement with the Company on any matter relating to its operations, policies or practices. The Company and the Board want to express their deep gratitude to Mr. Lingnau for his thirteen years of dedicated service and valuable contributions, and wish him the best in his retirement.
