On May 3, 2001, RFS Hotel Investors, Inc. issued a press release announcing that
its operating results for the first quarter ended March 31, 2001 exceeded
analyst's expectations and represent the best first quarter operating results in
the Company's history. A copy of the press release is filed as an exhibit to
this report and is incorporated by reference herein.
