On December 14, 2005, NTL Incorporated issued a press release entitled “NTL Enhances Senior Management Team, Advances Combination with Telewest.”  A copy of the press release announcing the amendment and restatement of the agreement and plan of merger is attached hereto as Exhibit 99.1.
