Item 2.02 Results of Operations and Financial Condition.

On July 31, 2007, Rural/Metro Corporation (the “Company”) issued a press release including limited preliminary unaudited financial information relating to the quarter ended June 30, 2007. The full text of the Company’s press release is attached hereto as Exhibit 99.1 and is incorporated in this Item 2.02 by reference. The press release contains forward-looking statements regarding the Company.

 (b) Pursuant to notice given July 30, 2007, we have agreed to terminate the employment of Barry D. Landon, Senior Vice President, pursuant to Section 5(b) – Termination Without Cause – of his employment agreement. This contract was filed with the Securities and Exchange Commission as Exhibit 10.2 to our Report on Form 8-K dated March 21, 2005.
