Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e) As previously reported by Rural/Metro Corporation in a report on Form 8-K filed on January 6, 2010, Conrad A. Conrad, the Chairman of the Board of Directors of Rural/Metro, was elected to serve as the Interim President and Chief Executive Officer of the Company until a successor is elected. The Board of Directors has determined that Mr. Conrad will be paid $35,000 per month during his service as interim President and Chief Executive Officer, retroactive to January 2010. Mr. Conrad is not being compensated for his Interim service other than by the monthly payments described herein. Mr. Conrad’s compensation for his service as Chairman and a member of the Board of Directors remains unchanged.
