Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On November 18, 2005, Matthew J. Majoros, the Corporate Controller (principal accounting officer) of Rural/Metro Corporation (“Rural/Metro”), resigned his position with Rural/Metro.

(c) (1) Michael Zarriello, Senior Vice President, Secretary and Chief Financial Officer, has resumed serving as Rural/Metro’s principal accounting officer.
