Item 12.            Results of Operations and Financial Condition

On September 29, 2003, Rural/Metro Corporation, a Delaware corporation, issued a press release announcing the extension of its bank agreement through December 31, 2006, as well as preliminary, unaudited results for the year ended June 30, 2003 and restatement adjustments on prior financial statements.

A copy of the release is filed herewith as Exhibit 99.1.
