EXPLANATORY NOTE

Equity Residential (the “Company”) is filing this Post-Effective Amendment No. 1 to Form S-8 Registration Statement (this “Post-Effective Amendment”) to deregister certain securities originally registered by the Company pursuant to its Registration Statement on Form S-8 filed with the Securities and Exchange Commission on January 21, 2003 (Registration Statement No. 333-102609 and referred to herein as the “Prior Registration Statement”) with respect to the Company’s common shares of beneficial interest, $.01 par value per share (the “Common Shares”), thereby registered for offer or sale pursuant to the Equity Residential 2002 Share Incentive Plan (the “2002 Plan”). The Prior Registration Statement initially registered 23,125,828 Common Shares with respect to the 2002 Plan.

The Company has since adopted a subsequent equity incentive plan, the Equity Residential 2011 Share Incentive Plan (the “2011 Plan”), which replaced the 2002 Plan as of June 16, 2011, the date the Company’s shareholders approved the 2011 Plan. No future awards will be made under the 2002 Plan. This Post-Effective Amendment is being filed solely to deregister (i) the Common Shares registered under the Prior Registration Statement that remained available for awards under the 2002 Plan as of the close of business on June 16, 2011 and (ii) the Common Shares registered under the Prior Registration Statement underlying certain awards made under the 2002 Plan, which awards have since expired unexercised or have otherwise been forfeited. Such Common Shares are hereby deregistered under the Prior Registration Statement.
