(&quot;KKP&quot;), a Delaware limited partnership of which the Reporting Person is the general partner, pursuant to which KKP agreed to extend its guarantee of a certain demand note issued by the Issuer to Wachovia Bank, N.A.  This agreement calls for an additional grant of 50,000 Warrants at the beginning of each month that the demand note is not repaid.
