On Tuesday, June 19, 2001, an Involuntary Petition under Title 11 of the Bankruptcy Code was filed in the United States Bankruptcy Court for the Western District of Pennsylvania against National Record Mart, Inc. requesting an order for relief under Chapter 7 of the Bankruptcy Code. The Involuntary Petition was filed by five of the Company's major suppliers, Universal Music and Video Distribution, Inc., BMG Distribution, EMI Music Distribution, Sony Music Entertainment, Inc. and Warner/Elektra/Atlantic (WEA) Corporation. The filing was not anticipated by the Company and has created additional and critical demands upon the time and attention of the Company's personnel who are responsible for the preparation of the Company's Form 10-Q. Consequently, it has not been possible to complete and file the Form 10-Q by its due date, August 14, 2001.
