Item 7.01 Regulation FD Disclosure.

On October 28, 2021, Lear Corporation (NYSE: LEA) announced that it has entered into an agreement to acquire substantially all of the Interior Comfort Systems business unit of Kongsberg Automotive ASA.

Gentherm Incorporated (the “Company”) has a long standing and successful relationship with Lear Corporation (“Lear”) supporting OEMs globally with unique seating comfort solutions. Automotive OEMs worldwide have specifically selected the Company’s products for their seating solutions, either directly with the Company or through Tier 1 companies. In fact, year-to-date sales to Lear represented 15% of the Company’s product revenues, of which approximately 70% was sourced directly by the Company’s OEM customers.

The Company remains proud of its industry leading position in advanced thermal solutions for the global automotive industry.
