Item 2.02    Results of Operations and Financial Condition

On August 6, 2008, Amerigon Incorporated (the “Company”) publicly announced its second quarter financial results for the three and six month periods ended June 30, 2008. A copy of the Company’s news release is filed as Exhibit 99.1 to this report and is incorporated in this report by reference.
