EMPLOYEE BENEFIT PLAN

The Company maintains a defined contribution plan pursuant to Section 401 of the Code (the "401K Plan") that allows eligible employees to contribute a percentage of their compensation to the 401K Plan. The Company matches 50% of the employee's pre-tax contribution up to a maximum employee contribution of 6% of salary in 2011, 2010 and 2009. Company contributions of $639, $655 and $700 were made to the 401K Plan in 2011, 2010 and 2009, respectively. Contributions are made in the Company's common stock.
