Explanation of Responses:
1. The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person and Charles Schwab effective 12/10/09.
2. One-eighth of the options granted on January 17, 2005 vested on the six-month anniversary date (July 17, 2005) and the remaining options granted vested monthly on a ratable basis for the next 42 months commencing on August 17, 2005.
3. One-eighth of the options granted on March 14, 2006 vested on the six-month anniversary date (Sept 14, 2006) and the remaining options granted vested and continue to vest monthly on a ratable basis for the next 42 months commencing on October14, 2006.
4. One-eighth of the options granted on March 10, 2007 vested on the six-month anniversary date (Sept 10, 2007) and the remaining options granted vested and continue to vest monthly on a ratable basis for the next 42 months commencing on October10, 2007.
5. One-eighth of the options granted on March 10, 2008 vested on the six-month anniversary date (Sept 10, 2008) and the remaining options granted vested and continue to vest monthly on a ratable basis for the next 42 months commencing on October10, 2008.
