Item 5.05. Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.

     Effective December 18, 2006, Human Genome Sciences, Inc. (the “Company”) amended its Code of Ethics and Business Conduct (the “Code”). The Code summarizes the values and principles that guide the Company’s actions in business. The Company reviews the Code periodically and amends the Code as appropriate.

     The December 18, 2006 amendments to the Code include the addition of certain provisions to reflect the Company’s status as a government contractor.

     A copy of the revised Code is filed as Exhibit 14.1 to this report, and the description of the amendments to the Code is qualified in its entirety by reference to such exhibit, which exhibit is incorporated in this Item 5.05 by reference. The revised Code can be found on the Company’s website at www.hgsi.com. The contents of the Company’s website are not incorporated by reference in this report or made a part hereof for any purpose.
