Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

     On November 28, 2006, William D. Young submitted his resignation from the Board of Directors of Human Genome Sciences, Inc. (the “Company”) to devote more time to his other business and personal interests. A member of our Board of Directors since 2003, Mr. Young has provided valuable expertise to the Company. The Company appreciates his hard work and dedication and wishes him well.
