Section 5 — Corporate Governance and Management

Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

     On March 1, 2010, Timothy C. Barabe announced his resignation as the Chief Financial Officer of Human Genome Sciences, Inc. (the “Company”) in order to pursue another opportunity. Mr. Barabe will continue to serve as Chief Financial Officer until March 3, 2010 and is expected to be employed by the Company until March 31, 2010.

     Barry A. Labinger, the Company’s Executive Vice President and Chief Commercial Officer, will serve as interim Chief Financial Officer.
