Item 1.01 Entry into Material Definitive Agreement.

On October 18, 2004, Perry Ellis International, Inc. (“Perry Ellis”) entered into Amendment No. 6 to Loan and Security Agreement by and among Perry Ellis and certain of its direct and indirect subsidiaries, and Congress Financial Corporation (Florida), as agent for a syndicate of lenders (the “Amendment”). The Amendment extends the term of Perry Ellis’ senior credit facility to September 30, 2007, and amends a few of the business terms, covenants and definitions of the senior credit facility.
