OM Group, Inc. announced on March 16, 2004 that the Audit Committee of its Board of directors was completing an independent investigation regarding inventory issues. As a result of the investigation, the company anticipates it will be restating its financial statements for the years 1999 through 2003. The company had previously announced a delay in the release of its results for the full-year 2003. The company intends to file its Form 10-K for the year ended December 31, 2003 promptly after the restatement of prior years is completed, but it cannot predict at this time when such restatement will be completed. The results of the PMG business, which include a full 12 months in 2002 and 7 months in 2003, have been reclassified to discontinued operations for all periods. -- Before any impact of the anticipated restatement, results of operations for 2002 included a lower of cost or market charge of $108.2 million, and restructuring and other charges of $329.7 million. Before restatement, results for 2003 are expected to include restructuring and other charges of $43.2 million, as reported in the Company's Form 10-Q for the 2003 third quarter. -- The impact of a potential change from the LIFO method to the FIFO method of accounting for inventories. The preferability of this change is still being evaluated.
