Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

The Board of Directors and employees of Tanger Factory Outlet Centers, Inc. are deeply saddened by the loss of Donald G. Drapkin, who passed away unexpectedly on Monday, February 22, 2016.  Donald was a member of our Board of Directors, and we will greatly miss his leadership and trusted counsel.

We would like to express our deepest condolences to his family and friends during this tragic time.

His seat on the Board of Directors will remain vacant while the Board considers whether to appoint a new director or to reduce the size of the Board to eight members.
