Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 14, 2009, Joseph H. Nehmen, Senior Vice President of Operations, notified Tanger Factory Outlet Centers, Inc. (the “Company”) that, effective October 1, 2009, he will resign from the Company to spend more time with his family and to pursue other interests.  Mr. Nehmen’s resignation is pursuant to Section 5.1(f) of his employment contract.  In accordance with Section 7.1(c) of his contract, Mr. Nehmen will receive no severance payments.  A copy of Mr. Nehmen’s employment contract was filed as Exhibit 10.9 in the Company’s Current Report on Form 8-K filed on December 31, 2008.  Mr. Nehmen, age 60, is the son-in-law of Stanley K. Tanger and brother-in-law of Steven B. Tanger.
