Sharps Compliance Prices Public Offering of Common Stock

HOUSTON, Dec. 10, 2009 (GLOBE NEWSWIRE) -- Sharps Compliance Corp. (Nasdaq:SMED) ("Sharps" or the "Company"), a leading full-service provider of cost-effective disposal solutions for medical waste and unused dispensed medications generated outside the hospital and large healthcare facility setting, announced today that it has priced its underwritten public offering of 3,220,000 shares of its common stock, of which 500,000 shares will be sold by the Company and 2,720,000 shares will be sold by certain of its stockholders at a price of $9.75 per share.

The Company will not receive any proceeds from the sale of shares by the selling stockholders. The Company and the selling stockholders have granted the underwriters a 30-day option to purchase up to an additional 77,146 and 405,854 shares of common stock, respectively, to cover over-allotments, if any. The offering is expected to close on December 14, 2009, subject to customary closing conditions.

The registration statement relating to these securities was declared effective by the U.S. Securities and Exchange Commission on December 9, 2009. William Blair & Company is acting as the sole book running manager and Barrington Research Associates, Inc. is acting as co-manager for the offering.
