performance-based criteria:
	a. 2,960* shares granted on 10/17/19, with a three-year performance period
(9/1/2019 - 8/31/22);
	b. 2,220* shares granted on 11/7/19, with a three-year performance period
(9/1/2019 - 8/31/22); and
	c. 6,650* shares granted on 10/15/20, with a three-year performance period
