Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 11, 2017, Ms. Joyce Phillips informed Reinsurance Group of America, Incorporated (“RGA”) that she will resign from the RGA Board of Directors effective immediately. Ms. Phillips recently joined AXA Group as Chief Executive Officer of a new business unit dedicated to customer innovation and new business models. Various insurance subsidiaries in the AXA Group are clients of RGA’s reinsurance subsidiaries.
