In addition, the Company announced in the press release that a conference call would be held on January 31, 2006 to discuss its financial and operating results for the three-month period ended December 31, 2005. ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS. On January 30, 2006, the Company issued a press release announcing that Lisa M. Weber resigned from its Board of Directors. Ms. Weber's resignation was effective January 25, 2006, and she was not a member of any Board committees. The press release also reported that on January 26, 2006, the Board elected Georgette A. Piligian, Senior Vice President & Chief Information Officer, Corporate Systems, MetLife, as a director to fill the vacancy created by Ms. Weber's resignation.
