Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective November 15, 2010, John W. Shealy, Jr., a director of Uwharrie Capital Corp, Albemarle, North Carolina (the “Registrant”), resigned from the Registrant’s board of directors. Mr. Shealy had served as a member of the examining (audit) committee of the Registrant’s board of directors and as the designated audit committee financial expert. Mr. Shealy resigned from the board due to his time commitments and other obligations; his resignation was not due to any disagreement with the Registrant, the examining committee, or the Registrant’s independent registered public accounting firm.
