EXPLANATORY NOTE
 

This Amendment No. 1 to Amarin Corporation plc’s (“Amarin”) Annual Report on Form 20-F for the fiscal year ended December 31, 2005 is being filed solely to add as exhibits two employment contracts (the “Exhibits”) with senior management which were omitted from Amarin’s Form 20-F which was filed on March 30, 2006.
 
This Amendment consists of a cover page, this explanatory note, a revised Item 19 list of exhibits, the signature page of the Chief Executive Officer of Amarin and the Exhibits. Other than the addition of the Exhibits and revision to the list of exhibits, no changes have been made to any portion to the Form 20-F as originally filed. This Amendment continues to speak as of the date of the original filing of the Form 20-F and, except as described above, does not purport to amend or update the information contained in the Form 20-F filed on March 30, 2006, or reflect any events that have occurred after the Form 20-F was filed.
