At the Annual Meeting of Stockholders of Chicos FAS Inc. (the Company) held on June 21, 2012, stockholders approved the Chicos FAS, Inc. 2012 Omnibus Stock and Incentive Plan (the Plan). A description of the Plan is included in the Companys 2012 Proxy Statement (the Proxy Statement) filed with the Securities and Exchange Commission on May 4, 2012 under the heading Proposal to Approve the Chicos FAS, Inc. 2012 Omnibus Stock and Incentive Plan. The description of the Plan is incorporated herein by reference and is qualified in its entirety by reference to the full text of the Plan, which was filed as Appendix A of the Proxy Statement and is incorporated herein by reference.
Item 5.07 Submission of Matters to a Vote of Security Holders.
The Annual Meeting of Shareholders for Chicos FAS, Inc. was held on June 21, 2012 for the purpose of electing directors and voting on the proposals described below. Each Class I director was elected and each proposal was approved.

Chicos FAS, Inc. Declares Cash Dividend of $0.0525 Per Share
Fort Myers, FL June 25, 2012 Chicos FAS, Inc. (NYSE: CHS) today announced that its Board of Directors declared a quarterly cash dividend of $0.0525 per share of its common stock, a 5% increase over the dividend rate from September 2011. The dividend is payable on September 24, 2012 to Chicos FAS shareholders of record at the close of business on September 10, 2012.
