Item 2.02. Results of Operations and Financial Condition.

On June 10, 2020, Chico’s FAS, Inc. (the “Company”) held a conference call with the investment community to discuss its first quarter earnings for the period ended May 2, 2020. A copy of the transcript of the conference call is attached to this Current Report on Form 8-K as Exhibit 99.1.
