EXPLANATORY STATEMENT

Firstwave Technologies, Inc. (the “Company”) is filing this Post-Effective Amendment No. 1 to Form S-8 Registration Statement (this “Post-Effective Amendment”) to withdraw and remove from registration the unissued and unsold securities previously registered by the Company pursuant to its Registration Statement on Form S-8 filed with the Securities and Exchange Commission on June 3, 1998 (Registration No. 333-55939) (the “Registration Statement”). The Registration Statement registered 400,000 shares of the Company’s common stock, no par value to be issued, offered and sold pursuant to the Company’s 1993 Stock Option Plan.

DEREGISTRATION OF UNSOLD SECURITIES

Pursuant to the undertakings contained in the Registration Statement, the Company is filing this Post-Effective Amendment to deregister all of the securities registered under the Registration Statement that remain unsold as of the date hereof. As a result of this deregistration, no securities remain registered for sale pursuant to the Registration Statement.
