ITEM 3.01. NOTICE OF DELISTING OR FAILURE TO SATISFY A CONTINUED LISTING RULE OR
STANDARD; TRANSFER OF LISTING.

      On March 23, 2006, the Company had reported in a Current Report on Form
8-K that the Nasdaq Stock Market informed the Company that the closing bid of
the Company's common stock had closed below the minimum $1.00 per share
requirement for a period of 30 consecutive business days required for continued
inclusion under Marketplace Rule 4310(c)(4).

      In a letter dated June 9, 2006, the Nasdaq Stock Market informed the
Company that the closing bid of the Company's common stock had been at $1.00 per
share or greater for at least 10 consecutive business days and that the Company
had therefore regained compliance with Marketplace Rule 4310(c)(4) and that this
matter is now closed.
