NOTICE OF DELISTING OR FAILURE TO SATISFY A CONTINUED LISTING RULE OR STANDARD; TRANSFER OF LISTING. On March 22, 2006, the Company received a notice from the Nasdaq Stock Market informing the Company that for the last 30 consecutive business days, the bid price of the Company's common stock has closed below the minimum $1.00 per share requirement for continued inclusion under Marketplace Rule 4310(c)(4). The letter stated that under Marketplace Rule 4310(c)(8)(d), the Company will be provided with 180 calendar days, or until September 18, 2006, to regain compliance with Marketplace Rule 4310(c)(4). To regain compliance, anytime before September 18, 2006, the bid price of the Company's common stock must close at $1.00 per share or more for a minimum of 10 consecutive business days.
