Item 8.01 Other Events.

On February 1, 2024 Cantaloupe, Inc. acquired Cheq Lifestyle Technology, Inc., an innovative fan-facing POS and mobile-first ordering platform, for $4.75 million in cash. A copy of the press release announcing the acquisition is included as Exhibit 99.1 to this Current Report on Form 8-K.
