Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 14, 2012, Billie A. Payne, the Senior Vice President, Operations of AmSurg Corp. (the “Company”), notified the Company that she intends to retire from her position with the Company in one year, effective August 14, 2013. As Ms. Payne completes her final year of service with the Company, the Company intends to focus its efforts on identifying a successor to Ms. Payne.
