Explanatory Note

Jarden Corporation is filing this Amendment on Form 10-Q/A to its Quarterly Report on Form 10-Q for the three-month period ended March 31, 2013, filed with the Securities and Exchange Commission on May 8, 2013, solely to correct a typographical error on the cover page, which stated an incorrect number of outstanding shares of the Company’s common stock. The correct number of outstanding shares as of April 22, 2013, should have been 112,514,000, as reflected on the cover page to this Form 10-Q/A.

Except as noted above, this Form 10-Q/A does not modify or update disclosures in the original Form 10-Q or reflect events occurring after the filing of the Form 10-Q.
