Item 2.02 Results of Operations and Financial Condition.

     On February 17, 2005, we issued a press release announcing our financial
results for the fiscal year ended December 31, 2004. A copy of our press release
announcing our earnings results for the fiscal year ended December 31, 2004 is
attached hereto as Exhibit 99.1 and is incorporated herein by reference.

     Also attached to this Current Report on Form 8-K as Exhibit 99.2 is a
reconciliation of certain non-GAAP financial measures expected to be discussed
by us during our February 17, 2005 earnings conference call to the most directly
comparable financial measure in accordance with generally accepted accounting
principles in the United States ("GAAP") and is incorporated by reference
herein.
